Content Use License Agreement

1. Introduction

This Content Use License Agreement (“Agreement”) is made between The Canada History Society (“Licensor”) and the individual or entity accessing and using content from www.canadahistory.org (“Licensee”). By downloading, copying, or otherwise using any image, article, or other content (“Licensed Content”) www.canadahistory.org, you agree to the terms and conditions of this Agreement.

2. Grant of License

Licensor grants the Licensee a limited, non-exclusive, non-transferable, non-sublicensable, worldwide license to use the Licensed Content for the following purposes:

  • Personal, non-commercial use.
  • Educational use, including academic presentations, research papers, and class projects.
  • Non-commercial editorial use, such as blog posts, news articles, and social media.

3. Restrictions on Use

Unless explicitly authorized by Licensor in writing, Licensee may not:

  • Use the Licensed Content for commercial purposes, including advertisements, marketing materials, or any other commercial endeavors.

  • Redistribute, resell, sublicense, or exploit the Licensed Content in any way.

4. Attribution

Whenever Licensed Content is used, Licensee agrees to provide appropriate attribution, giving credit to The Canada History Society and linking back to www.canadahistory.org. The attribution must be clearly visible and include:

  • A statement such as “Image/Article courtesy of [Your Organization Name].”
  • A link to the original webpage where the Licensed Content is hosted, or to the homepage of www.canadahistory.org.

5. Termination of License

Licensor reserves the right to revoke or terminate this license at any time for any reason. Upon termination, Licensee must immediately cease using the Licensed Content and remove any copies from any digital or physical media where it has been used.

6. Intellectual Property

All rights, title, and interest in and to the Licensed Content, including all intellectual property rights, remain the sole property of the Licensor. This Agreement does not transfer any ownership rights to the Licensee.

7. Indemnification

Licensee agrees to indemnify, defend, and hold harmless Licensor, its officers, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses arising out of or related to Licensee’s use of the Licensed Content.

8. Disclaimer of Warranties

The Licensed Content is provided “as is” without warranties of any kind, either express or implied, including but not limited to, warranties of title or implied warranties of merchantability or fitness for a particular purpose.

9. Limitation of Liability

Under no circumstances shall the Licensor be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the use of the Licensed Content.

10. Amendments

Licensor reserves the right to modify the terms of this Agreement at any time. Any amendments will be effective upon posting the updated Agreement on www.canadahistory.org. Licensee’s continued use of the Licensed Content following such changes constitutes acceptance of the new terms.

11. Governing Law

This Agreement is governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.
